<h2 dir="ltr">1. General provisions</h2>
<p dir="ltr">1.1. These Terms of Use (“Terms”) govern the use of the SaaS, POS, e-commerce, mobile application, web panel, API, integration, support and all related services (“Service”) provided by Hadıyev Məhəmmədəli Fəxrəddin oğlu - TIN 1202614302 (“Company”, “we”, “our”), which represents the AISALESPOS platform.</p>
<p dir="ltr">1.2. By registering for the Service, logging in, making a payment, creating an account, accessing the system or using the Service in any manner, you confirm that you have read these Terms in full, that you understand them and that you agree to be legally bound by them.</p>
<p dir="ltr">1.3. If you accept these Terms on behalf of a legal entity, sole trader, branch, representative office or other organisation, you represent and warrant that you have the authority to legally bind that entity to these Terms.</p>
<p dir="ltr">1.4. In addition to these Terms, the following documents may also apply:</p>

<p dir="ltr">1.5. The Service is intended primarily for business and commercial use. To the maximum extent permitted by law, and save for mandatory consumer protection rules, the parties acknowledge that this relationship is commercial in nature.</p>
<h2 dir="ltr">2. Definitions - Concepts</h2>
<p dir="ltr">In these Terms:</p>
<ul> <li dir="ltr"> <p dir="ltr">“Account” – the user’s login account and the profiles linked to it;</p> </li> <li dir="ltr"> <p dir="ltr">“User” – a natural or legal person using the Service;</p> </li> <li dir="ltr"> <p dir="ltr">“Customer” – a business entity that obtains the Service on a subscription basis;</p> </li> <li dir="ltr"> <p dir="ltr">“Authorised user” – the Customer’s employees, cashiers, managers, administrators and other permitted persons;</p> </li> <li dir="ltr"> <p dir="ltr">“Data” – any information uploaded to, entered into, generated, stored or processed in the system by the user;</p> </li> <li dir="ltr"> <p dir="ltr">“Subscription” – a monthly, annual or other periodically paid right of use;</p> </li> <li dir="ltr"> <p dir="ltr">“Third-party service” – payment provider, SMS, e-mail, courier, marketplace, fiscal integration, ERP, bank, printer and other external systems.</p> </li> </ul>
<h2 dir="ltr">3. Eligibility and right of use</h2>
<p dir="ltr">3.1. The Service may be used only in accordance with applicable law.</p>
<p dir="ltr">3.2. You represent that you are at least 18 years old or otherwise have the capacity to enter into a binding contract under applicable law.</p>
<p dir="ltr">3.3. The Company grants you a limited, revocable, non-exclusive, non-transferable and non-sublicensable right of use, solely for use in accordance with these Terms.</p>
<p dir="ltr">3.4. This right is granted solely for your internal business activity and may not be transferred, sold, leased, distributed or commercially re-offered to any third party without the Company’s prior written consent.</p>
<h2 dir="ltr">4. Creation and administration of accounts</h2>
<p dir="ltr">4.1. Creating an account may be required in order to use the Service.</p>
<p dir="ltr">4.2. You are responsible for ensuring that all information you provide upon registration is accurate, complete and up to date.</p>
<p dir="ltr">4.3. The security of login credentials, passwords, OTP codes, device logins and all authentication means is entirely your responsibility.</p>
<p dir="ltr">4.4. All actions, transactions, sales, refunds, adjustments, integration calls and other activities carried out under your account are deemed to be attributable to you; you must notify us in writing immediately of any unauthorised use.</p>
<p dir="ltr">4.5. The Company may immediately restrict, suspend or close an account or certain functions where required for security, compliance, suspicious activity, payment breach, fraud risk or investigation purposes.</p>
<h2 dir="ltr">5. Packages, subscription and payments</h2>
<p dir="ltr">5.1. The Service may be offered under various packages, modules and add-ons. POS, e-commerce, branch management, number of users, number of devices, integration, API, premium support, SMS/e-mail, storage and other functions may be priced separately.</p>
<p dir="ltr">5.2. Unless otherwise agreed in writing, all payments are made in advance.</p>
<p dir="ltr">5.3. The subscription is payable periodically and may renew automatically for the selected period. Upon purchase, the user accepts the price, period, renewal and cancellation terms presented.</p>
<p dir="ltr">5.4. Save where required by law, amounts paid are non-refundable, no pro-rata refund is made for any unused period and no credit is issued for partially used periods.</p>
<p dir="ltr">5.5. In the event of late payment, failed payment, chargeback, dispute, suspected fraud or breach of obligation, the Company shall have the right to:</p>
<ul> <li dir="ltr"> <p dir="ltr">suspend the account;</p> </li> <li dir="ltr"> <p dir="ltr">disable certain modules;</p> </li> <li dir="ltr"> <p dir="ltr">prevent new transactions;</p> </li> <li dir="ltr"> <p dir="ltr">claim late payment interest and collection costs;</p> </li> <li dir="ltr"> <p dir="ltr">take legal and administrative measures.</p> </li> </ul>
<p dir="ltr">5.6. The Company may change prices, package contents, limits and features at any time. Changes may take effect from the next payment period.</p>
<p dir="ltr">5.7. Unless expressly stated otherwise, taxes, bank commissions, payment gateway (payment provider) deductions, currency conversion costs, fiscal requirements and other governmental or third-party charges are the user’s responsibility.</p>
<h2 dir="ltr">6. Trial period and promotions</h2>
<p dir="ltr">6.1. The Company may offer trial balances, demo access, trial periods, promotional discounts and other incentives.</p>
<p dir="ltr">6.2. Trial and promotional terms are determined separately and may be changed or discontinued at any time.</p>
<p dir="ltr">6.3. If abuse of trial or promotional rights, multiple fake accounts or manipulation of the system is detected, the Company may close the accounts without notice.</p>
<h2 dir="ltr">7. Acceptable use policy</h2>
<p dir="ltr">7.1. The user must not use the Service for:</p>
<ul> <li dir="ltr"> <p dir="ltr">unlawful activity;</p> </li> <li dir="ltr"> <p dir="ltr">breaches of sanctions, embargoes and export controls;</p> </li> <li dir="ltr"> <p dir="ltr">fraud, phishing, spam, distribution of malware;</p> </li> <li dir="ltr"> <p dir="ltr">unauthorised interference with the system, penetration, reverse engineering, scraping;</p> </li> <li dir="ltr"> <p dir="ltr">infringement of third parties’ intellectual property, privacy, consumer and other rights;</p> </li> <li dir="ltr"> <p dir="ltr">discrimination, hate speech, violence, threats and insults;</p> </li> <li dir="ltr"> <p dir="ltr">fictitious orders, fictitious sales, fictitious refunds, manipulative financial records;</p> </li> <li dir="ltr"> <p dir="ltr">breaches of applicable tax, fiscal, consumer and e-commerce legislation;</p> </li> <li dir="ltr"> <p dir="ltr">actions that jeopardise the performance and stability of the system or the security of other users.</p> </li> </ul>
<p dir="ltr">7.2. The Company may, at its own discretion, restrict or prohibit prohibited goods, high-risk activities, licence-requiring sectors and uses that create reputational risk.</p>
<h2 dir="ltr">8. Products, catalogue and user content</h2>
<p dir="ltr">8.1. The accuracy and lawfulness of product names, images, prices, descriptions, categories, stock data, tax parameters, campaigns, legal texts, store content, domain configuration and all other content uploaded to the system is entirely the user’s responsibility.</p>
<p dir="ltr">8.2. The user grants the Company the right to host, copy, process, back up, display and technically adapt such content and to use it to the extent necessary to provide the Service.</p>
<p dir="ltr">8.3. The Company claims no ownership of user content; however, it may process such content for the purposes of providing the Service, security, backup, technical support, legal obligations and investigation of breaches.</p>
<p dir="ltr">8.4. Where prohibited or infringing content is detected, the Company may delete or block it or submit it to the competent authorities.</p>
<h2 dir="ltr">9. Orders, sales and customer relations</h2>
<p dir="ltr">9.1. The platform is merely a technical tool. The contracts the Customer concludes with its own end buyers, as well as delivery, returns, exchanges, warranty, complaints, consumer rights and all other commercial relations, are the user’s responsibility.</p>
<p dir="ltr">9.2. Unless otherwise agreed in writing, the Company does not act as seller, reseller, distributor, merchant of record, escrow agent or a party to such relations.</p>
<p dir="ltr">9.3. The correct formation of orders, product availability, pricing errors, the application of coupons and discounts, tax calculation, delivery terms and the actual fulfilment outcomes are managed by the user.</p>
<h2 dir="ltr">10. POS, inventory, stock and financial records</h2>
<p dir="ltr">10.1. The POS, stock, inventory, FIFO, transfer, loss, write-off, return, discount, tax, cash movement, inter-branch movement, payment type and transaction rules functions are provided to the user as tools. The correct configuration and use of these parameters is entirely the user’s responsibility.</p>
<p dir="ltr">10.2. The Company does not warrant that any accounting, audit, tax, inventory or legal outcome will automatically be correct.</p>
<p dir="ltr">10.3. The user bears full responsibility for:</p>
<ul> <li dir="ltr"> <p dir="ltr">incorrect tax parameters;</p> </li> <li dir="ltr"> <p dir="ltr">erroneous stock adjustments;</p> </li> <li dir="ltr"> <p dir="ltr">duplicate refunds;</p> </li> <li dir="ltr"> <p dir="ltr">incorrect transaction rules;</p> </li> <li dir="ltr"> <p dir="ltr">erroneous payment method mapping (payment provider selection);</p> </li> <li dir="ltr"> <p dir="ltr">branch and cash register discrepancies;</p> </li> <li dir="ltr"> <p dir="ltr">fiscal and reporting inconsistencies;</p> </li> <li dir="ltr"> <p dir="ltr">user error, employee misuse and unauthorised transactions.</p> </li> </ul>
<p dir="ltr">10.4. The Company is not an accountant, auditor, tax adviser or legal adviser. The user must separately verify the results obtained from the Service through its own internal controls.</p>
<h2 dir="ltr">11. Payment systems and card data</h2>
<p dir="ltr">11.1. The Company may enable the acceptance, routing or integration of payments directly or through third-party payment gateways (payment providers).</p>
<p dir="ltr">11.2. Where card data is processed, the parties must comply with PCI DSS and other relevant security requirements, depending on the applicable architecture and integration model. Unless it has expressly undertaken to do so in writing, the Company does not act as a merchant acquirer, issuing bank, payment processor or card network.</p>
<p dir="ltr">11.3. The user is itself responsible for risks relating to the payment provider, bank, terminal, POS device, chargeback, settlement, reserve, hold, AML/KYC checks or payment disputes.</p>
<p dir="ltr">11.4. The Company does not warrant that third-party payment services will operate without interruption, delay or error.</p>
<h2 dir="ltr">12. Third-party integrations</h2>
<p dir="ltr">12.1. The Service may be integrated with SMS, e-mail, printer, courier, ERP, CRM, marketplace, payment gateway, domain, hosting, fiscal system, analytics, advertising and other third-party services.</p>
<p dir="ltr">12.2. The service level, availability, prices, API limits, security, data loss, delays or non-conformities relating to such integrations are primarily the responsibility of the relevant third-party providers.</p>
<p dir="ltr">12.3. If any third-party integration changes, is discontinued, has its APIs updated or its service suspended, the Company bears no responsibility for this and the functionality may not be preserved in its previous form.</p>
<h2 dir="ltr">13. Data ownership and processing</h2>
<p dir="ltr">13.1. Unless otherwise agreed, the business data, product data, sales records, customer data and other information entered into the system by the user remain the property of the user.</p>
<p dir="ltr">13.2. The Company may process such data for the purposes of providing the Service, delivering technical support, security, backup, monitoring, analytics, fraud prevention, legal compliance and product improvement.</p>
<p dir="ltr">13.3. Where personal data is processed, the parties must comply with applicable data protection laws. Principles such as transparency, purpose limitation, data minimisation, accuracy, storage limitation, integrity and confidentiality are applied as the basis.</p>
<p dir="ltr">13.4. If the Company acts as data processor on behalf of the user and the user acts as data controller, the parties may, where necessary, conclude a separate Data Processing Addendum.</p>
<p dir="ltr">13.5. The user bears full responsibility for providing the requisite notices to, obtaining the consents of, and establishing a legal basis for processing in respect of end buyers, employees and third parties.</p>
<h2 dir="ltr">14. Data retention, backup and deletion</h2>
<p dir="ltr">14.1. The Company may take commercially reasonable measures to back up data, but does not warrant that no data loss will occur.</p>
<p dir="ltr">14.2. The user is responsible for keeping its own separate backup copies of its data.</p>
<p dir="ltr">14.3. Where an account is cancelled or suspended or the contract ends, the Company may delete, anonymise or archive the data immediately, on a deferred basis, or after a specified retention period has elapsed.</p>
<p dir="ltr">14.4. Data necessary for legal, audit, dispute, security, debt collection or legal defence purposes may be retained for a longer period.</p>
<h2 dir="ltr">15. Confidentiality and security</h2>
<p dir="ltr">15.1. The Company applies reasonable technical and organisational security measures; however, due to the nature of the internet, cloud infrastructure, telecommunications and software, complete security, freedom from interference or uninterrupted operation cannot be guaranteed.</p>
<p dir="ltr">15.2. The user is responsible for the security of its own devices, local network, employee logins, printer and terminal devices, third-party integrations and internal processes.</p>
<p dir="ltr">15.3. In the event of a security incident, suspicious login, data leak, device theft or internal misuse, the user must immediately change passwords, suspend logins and notify the Company.</p>
<h2 dir="ltr">16. Availability and modification of the Service</h2>
<p dir="ltr">16.1. The Company does not warrant that the Service will be provided uninterrupted, error-free and in full conformity.</p>
<p dir="ltr">16.2. The Service may be partly or wholly unavailable due to planned maintenance, emergency intervention, security measures, server failure, DDoS, power outage, internet problems, third-party failures and force majeure.</p>
<p dir="ltr">16.3. The Company reserves the right at any time to add, remove, restrict or redesign functions, to differentiate them by package, or to suspend the Service in whole or in part.</p>
<h2 dir="ltr">17. Beta features</h2>
<p dir="ltr">17.1. Beta, preview, early access and experimental features are provided “as is”.</p>
<p dir="ltr">17.2. These features may be unstable, may change, may be discontinued or may cause data loss.</p>
<p dir="ltr">17.3. The Company provides no separate support, conformity or warranty in respect of beta features.</p>
<h2 dir="ltr">18. Intellectual property rights</h2>
<p dir="ltr">18.1. The Service itself, including the software, code, design, UI/UX, database structure, documentation, logos, trade marks, methodologies, analytics mechanisms, API structure and all related rights, belongs to the Company or its licensors.</p>
<p dir="ltr">18.2. The user must not:</p>
<ul> <li dir="ltr"> <p dir="ltr">reverse engineer;</p> </li> <li dir="ltr"> <p dir="ltr">extract source code;</p> </li> <li dir="ltr"> <p dir="ltr">create a clone;</p> </li> <li dir="ltr"> <p dir="ltr">use it to develop a competing product;</p> </li> <li dir="ltr"> <p dir="ltr">make unauthorised copies;</p> </li> <li dir="ltr"> <p dir="ltr">use trade marks without authorisation.</p> </li> </ul>
<p dir="ltr">18.3. If the user submits feedback, suggestions or ideas, the Company shall be entitled to use such suggestions free of charge and without restriction.</p>
<h2 dir="ltr">19. Audit, monitoring and compliance</h2>
<p dir="ltr">19.1. The Company may log, monitor and audit use of the system for the purposes of security, performance, abuse prevention, support, payments, disputes and legal compliance.</p>
<p dir="ltr">19.2. The Company is entitled to conduct investigations and take appropriate measures where there is a likelihood of suspicious actions, mass irregular transactions, fraud or unlawful activity.</p>
<h2 dir="ltr">20. Suspension and termination</h2>
<p dir="ltr">20.1. The user may cancel its account or subscription in accordance with the applicable procedure. Upon cancellation, amounts paid are non-refundable unless otherwise required by law.</p>
<p dir="ltr">20.2. The Company may immediately suspend or terminate an account in the following cases:</p>
<ul> <li dir="ltr"> <p dir="ltr">breach of these Terms;</p> </li> <li dir="ltr"> <p dir="ltr">late payment;</p> </li> <li dir="ltr"> <p dir="ltr">suspected fraud;</p> </li> <li dir="ltr"> <p dir="ltr">legal risk;</p> </li> <li dir="ltr"> <p dir="ltr">security risk;</p> </li> <li dir="ltr"> <p dir="ltr">reputational risk;</p> </li> <li dir="ltr"> <p dir="ltr">misuse of the service;</p> </li> <li dir="ltr"> <p dir="ltr">sanctions and AML/KYC risks.</p> </li> </ul>
<p dir="ltr">20.3. Following suspension or termination, the Company may restrict access to data, suspend exports or commence the deletion procedure.</p>
<h2 dir="ltr">21. Indemnification obligation</h2>
<p dir="ltr">21.1. The user agrees to defend, hold harmless and indemnify the Company, its directors, employees, affiliates, contractors and partners against claims, damages, fines, costs, losses and legal fees arising out of:</p>
<ul> <li dir="ltr"> <p dir="ltr">breach of the Terms;</p> </li> <li dir="ltr"> <p dir="ltr">breach of law;</p> </li> <li dir="ltr"> <p dir="ltr">user content;</p> </li> <li dir="ltr"> <p dir="ltr">products and sales;</p> </li> <li dir="ltr"> <p dir="ltr">customer complaints;</p> </li> <li dir="ltr"> <p dir="ltr">tax and fiscal non-compliance;</p> </li> <li dir="ltr"> <p dir="ltr">infringement of third-party rights;</p> </li> <li dir="ltr"> <p dir="ltr">fictitious or erroneous transactions;</p> </li> <li dir="ltr"> <p dir="ltr">data protection breaches;</p> </li> <li dir="ltr"> <p dir="ltr">damages arising from integrations and devices.</p> </li> </ul>
<h2 dir="ltr">22. Disclaimer of warranties</h2>
<p dir="ltr">22.1. The Service is provided “as is”, “as available” and “on an availability basis”.</p>
<p dir="ltr">22.2. To the maximum extent permitted by law, the Company disclaims all warranties, whether express, implied, statutory or otherwise, including:</p>
<ul> <li dir="ltr"> <p dir="ltr">merchantability;</p> </li> <li dir="ltr"> <p dir="ltr">fitness for a particular purpose;</p> </li> <li dir="ltr"> <p dir="ltr">non-infringement;</p> </li> <li dir="ltr"> <p dir="ltr">uninterrupted operation;</p> </li> <li dir="ltr"> <p dir="ltr">freedom from errors;</p> </li> <li dir="ltr"> <p dir="ltr">accuracy of results;</p> </li> <li dir="ltr"> <p dir="ltr">fiscal, tax and accounting compliance.</p> </li> </ul>
<h2 dir="ltr">23. Limitation of liability</h2>
<p dir="ltr">23.1. To the maximum extent permitted by law, the Company shall under no circumstances be liable for indirect, incidental, special, exemplary, punitive or consequential damages, including:</p>
<ul> <li dir="ltr"> <p dir="ltr">loss of revenue;</p> </li> <li dir="ltr"> <p dir="ltr">loss of profit;</p> </li> <li dir="ltr"> <p dir="ltr">loss of data;</p> </li> <li dir="ltr"> <p dir="ltr">loss of goodwill;</p> </li> <li dir="ltr"> <p dir="ltr">business interruption;</p> </li> <li dir="ltr"> <p dir="ltr">tax penalties;</p> </li> <li dir="ltr"> <p dir="ltr">reputational damage;</p> </li> <li dir="ltr"> <p dir="ltr">inventory discrepancies;</p> </li> <li dir="ltr"> <p dir="ltr">chargebacks and bank penalties.</p> </li> </ul>
<p dir="ltr">23.2. Where not prohibited by law, the Company’s total aggregate liability arising out of these Terms or the Service is limited to the amount actually paid by the user to the Company during the 12 months preceding the event giving rise to the dispute.</p>
<p dir="ltr">23.3. In many jurisdictions certain rights may be mandatory; in such cases this clause applies only to the extent permitted by law.</p>
<h2 dir="ltr">24. Force majeure</h2>
<p dir="ltr">24.1. The Company shall not be liable for delay or non-performance of obligations caused by circumstances beyond its control, including natural disaster, war, terrorism, civil unrest, governmental decisions, internet and power outages, cyber threats, telecommunications failure, labour disputes, pandemics and other force majeure events.</p>
<h2 dir="ltr">25. Amendments</h2>
<p dir="ltr">25.1. The Company may amend these Terms at any time.</p>
<p dir="ltr">25.2. The updated version may be published on the website, in the application or notified to the user.</p>
<p dir="ltr">25.3. Your continued use of the Service after the amendments take effect constitutes your acceptance of those amendments.</p>
<h2 dir="ltr">26. Governing law and dispute resolution</h2>
<p dir="ltr">26.1. These Terms are governed by the substantive law of the Republic of Azerbaijan; conflict-of-law rules do not apply.</p>
<p dir="ltr">26.2. The parties shall first endeavour to resolve any dispute through negotiation.</p>
<p dir="ltr">26.3. If the dispute is not resolved by agreement, then, unless otherwise agreed in writing, all disputes shall be resolved by the competent courts of the Republic of Azerbaijan.</p>
<p dir="ltr">26.4. The Company reserves the right to seek urgent injunctive relief in respect of payment debts, intellectual property infringements, confidential information and security breaches.</p>
<h2 dir="ltr">27. Miscellaneous provisions</h2>
<p dir="ltr">27.1. These Terms constitute the entire agreement between the parties on the subject matter and supersede all prior written and oral agreements.</p>
<p dir="ltr">27.2. If any provision is held invalid, the remaining provisions shall remain in force.</p>
<p dir="ltr">27.3. The Company’s failure to exercise any right shall not be construed as a waiver of that right.</p>
<p dir="ltr">27.4. The user may not transfer its rights and obligations under these Terms without the Company’s prior written consent. The Company, however, may freely transfer these rights in the event of a merger, restructuring, sale of assets or transfer to affiliated persons.</p>
<p dir="ltr">27.5. Official notices may be given by e-mail, panel notification, in-app notification or other electronic means designated by the Company and shall be deemed legally valid.</p>
